These Terms of Service (the “Terms”) govern your purchase and use of Quantery and related websites and services. Please read them carefully. By purchasing, downloading, installing, or using Quantery, you agree to these Terms.

1. Who we are

Quantery is provided by Wayland Holdings LLC, a Texas limited liability company (“Wayland Holdings,” “Company,” “we,” “us,” or “our”). “You” means the individual or entity that purchases or uses Quantery.

2. Definitions

• “Software” means the Quantery desktop application and any accompanying components, templates, and documentation we make available.
• “License” means the one-time, perpetual license to use the Software described in Section 3.
• “Subscription” means the optional annual Support & Upgrades subscription described in Section 5.
• “Services” means our websites, license issuance and activation services, and software-update delivery.

3. License grant

Subject to these Terms and your payment of the applicable fees, Wayland Holdings grants you a perpetual, worldwide, non-exclusive, non-transferable, non-sublicensable license to install and use the Software on devices you own or control, for your personal use or the internal business use of the purchasing entity, up to the number of activations (“seats”) included in your order.

The License is perpetual for the version(s) of the Software you were entitled to receive at the time of purchase and during any active Subscription. It survives expiration of the Subscription: if your Subscription lapses, you may continue to use the last version of the Software you were entitled to, but you will not receive further updates until you renew (see Section 5).

4. License restrictions

You will not, and will not permit others to:

• copy, resell, rent, lease, sublicense, distribute, or commercially host the Software for third parties;
• reverse engineer, decompile, or disassemble the Software, except to the extent this restriction is prohibited by applicable law;
• circumvent, disable, or tamper with license validation, activation, or update mechanisms;
• remove or alter any proprietary notices; or
• use the Software in violation of applicable law or the rights of others.

5. Support & Upgrades subscription

The Subscription is optional. It provides access to new versions of the Software, data-source updates, and priority support for as long as it remains active. A new License includes the first year of the Subscription at no additional charge; thereafter the Subscription renews at the then-current annual price (currently US$99 per year) unless you cancel.

The Subscription gates access to new downloads and updates only. It does not gate the perpetual License to the Software you already own. If you do not renew, the Software you last received continues to function.

6. Fees, billing & recurring charges

Prices are stated in U.S. dollars and are exclusive of taxes unless stated otherwise. Payments are processed by our merchant of record, Lemon Squeezy (Lemon Squeezy, LLC). Your purchase is also subject to Lemon Squeezy’s terms and privacy policy, and applicable sales tax or VAT may be added and collected by the merchant of record.

Recurring charges & automatic renewal. If you purchase or continue the Subscription, you authorize Wayland Holdings and our payment processor to automatically charge your payment method the applicable Subscription fee at the beginning of each renewal term (each renewal term being one (1) year) using the payment method on file, until you cancel. Renewal will occur automatically at the then-current price for the renewal term.

Price changes. We may change Subscription pricing. We will make reasonable efforts to notify you (for example, by email) before a price change takes effect for your next renewal. Continued use of the Subscription after a price change becomes effective constitutes acceptance of the new price.

How to cancel. You may cancel the Subscription at any time before the next renewal date to avoid the next charge, by using the customer portal link in your purchase or renewal emails or by contacting us at support@quantery.app. Cancellation takes effect at the end of your current paid term; you retain Subscription benefits until then, and your perpetual License is unaffected.

7. No refunds

All sales are final. Except where a refund is required by applicable law, all fees — including one-time License fees and Subscription fees, whether initial or renewal — are non-refundable, and we do not provide refunds or credits for partially used Subscription periods, unused seats, or unused updates. It is your responsibility to cancel before a renewal date if you do not wish to be charged. This Section does not limit any rights you may have that cannot be waived under applicable law.

8. Licenses & activation

Upon purchase you receive a signed license key. You are responsible for keeping your license key confidential and for all use made under it. Activation and update delivery may transmit limited technical information (such as the license key, a device identifier, and IP address) to our Services to verify entitlement, as described in our Privacy Policy. We may suspend or revoke a license that is used in breach of these Terms or obtained through fraud, chargeback, or an unpaid or reversed transaction.

9. Intellectual property

The Software and Services, and all related intellectual property, are owned by Wayland Holdings and its licensors and are protected by law. These Terms grant you a license, not a sale, of the Software, and no rights are granted except as expressly stated. Any theses, configurations, or data you create remain yours; the Software runs locally and we do not claim ownership of your research outputs.

10. Disclaimers & no advice

Not investment advice. Quantery is a research and backtesting tool. It does not provide investment, financial, legal, tax, or accounting advice, and it is not a broker-dealer, investment adviser, or fiduciary. Outputs, scores, screens, and backtests are informational only, may contain errors, and are not a recommendation or solicitation to buy, sell, or hold any security. Past performance and backtested results do not guarantee future results. You are solely responsible for evaluating information (including verifying against primary filings) and for your own decisions.

“As is.” To the maximum extent permitted by law, the Software and Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty regarding accuracy, completeness, timeliness, or availability of data obtained from third-party sources. We do not warrant that the Software or Services will be uninterrupted, error-free, or secure.

11. Limitation of liability

To the maximum extent permitted by law, in no event will Wayland Holdings or its members, managers, employees, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost data, or trading or investment losses, arising out of or relating to the Software, Services, or these Terms, even if advised of the possibility of such damages. Our total aggregate liability for all claims relating to the Software or Services will not exceed the greater of the amount you paid to us in the twelve (12) months before the event giving rise to the claim, or US$100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You will indemnify and hold harmless Wayland Holdings and its members, managers, and employees from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Software or Services, your investment or trading decisions, or your violation of these Terms or applicable law.

13. Term & termination

These Terms apply for as long as you use the Software or Services. We may suspend or terminate your access and licenses if you materially breach these Terms. Upon termination for breach, the licenses granted to you end and you must stop using and delete the Software. Sections that by their nature should survive (including Sections 7, 9–12, 14, and 16) survive termination.

14. Governing law & disputes

These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules, and by applicable U.S. federal law. You agree that the exclusive venue for any dispute arising out of or relating to these Terms or the Software will be the state and federal courts located in Texas, and you consent to personal jurisdiction there. Quantery is offered from the United States and is intended for users in the United States; you are responsible for compliance with local laws if you access it from elsewhere.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Changes are effective when posted. Your continued use of the Software or Services after changes become effective constitutes acceptance of the revised Terms.

16. General

These Terms, together with any order and our Privacy Policy, are the entire agreement between you and Wayland Holdings regarding the Software and supersede prior agreements on that subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
